前言

为使用深信服产品及相关服务,请您务必审慎阅读、充分理解本协议全部条款内容,特别是免除或者限制深信服责任的条款、对您的权利进行限制的条款、约定争议解决方式和司法管辖的条款等,以及针对性或专用的协议或规则。限制、免责条款或者其他涉及您重大权益的条款会以加粗、加下划线等形式提示您重点注意。

本协议的条款,如无特别说明则适用于所有用户。如果您从中华人民共和国(以下简称“中国”)境内(为本协议之目的,不包括香港、澳门和台湾地区,下同)渠道获取本产品,则您使用的是境内版本的VDI Client APP,您作为境内用户还应适用本协议中关于境内用户的特别条款;如果您从境外渠道获取本产品,则您使用的是境外版本的VDI Client APP,您作为境外用户还应适用关于境外用户的特别条款。如您对获取本产品的渠道或版本有任何疑问,请联系您所在的实体用户的相关负责人员确认。

除非您已充分阅读、完全理解并接受本协议所有条款,否则请您不要使用当前产品。您通过注册或登录方式进入并使用当前产品,或通过账号权限获取等其他任何方式直接使用,或以任何明示或默示方式表示接受本协议的,均视为您已阅读并同意签署本协议。

除非深信服与您另有约定,本协议自文首载明的生效之日成为对双方均具有约束力的法律文件。

 

重要定义

产品:本协议“产品”为深信服提供的多种形态的解决方案的统称,包括但不限于软件产品、硬件产品、订阅服务、授权、其他相关服务或前述形态产品的组合。

实体用户:指已经或拟购买并使用、或试用深信服产品的客户,或与深信服合作开展业务的签约经销商或其他类型的合作伙伴,类型包括但不限于法人、政府机构、其他组织、合伙或个体工商户等。

实体用户管理员:指经实体用户指定,拥有相关产品的全部功能及服务的配置和管理权限的个人(简称“管理员”);管理员亦可按照实体用户的管理需求将具体功能或服务的管理权限分配给其他个人用户执行。

认证用户:指通过注册或其他深信服允许的方式获得相应产品的账号/使用权限、并按照实体用户的授权/指示或基于实体用户的需求满足的目的使用产品功能的主体,该类型主体可能为实体用户内部员工或相关管理员,也可能为实体用户授权的其他人员。

非认证用户:指未注册账号或仅注册但未完成任何实体用户身份认证/绑定/关联、仅浏览产品相关信息或在限制范围内使用部分产品功能的主体。

用户:无论其连接的是深信服位于中国境内/境外的服务器,本协议实体用户与认证用户、非认证用户统称“用户”,也称“您”。

 

第一条 总则

1.1 缔约主体:本协议由使用当前产品功能及相关服务的用户与深信服共同缔结:如果您是境内用户,则您与深信服科技股份有限公司缔结本协议;如果您是境外用户,则您与深信服科技(香港)有限公司缔结本协议。深信服科技股份有限公司及深信服科技(香港)有限公司一同提及时,被称作深信服;您与深信服在下文中单独提及时可被称作一方,一同提及时可被称作双方。

1.2 合法经营保证:缔约双方均保证已经依照国家相关规定获得了合法经营资质或政府审批等,有权依法运营各自的产品或服务等业务。双方进一步保证,在本协议有效期内持续保持具备国家相关规定要求的经营资质或审批手续。深信服依约或您的授权向您提供各类技术产品和服务,但不会参与您的业务或相关网站、应用、软件、平台的运营,您的网站、应用、软件、平台等任何产品、服务及相关内容等,由您自行运营并承担全部责任。

1.3 法律规范的适用:深信服提供的境内版VDI Client APP仅向您承诺符合中华人民共和国境内法律法规、政策等的要求。若您选择在中国境外使用当前产品或相关服务,您应当自行评估产品或服务是否符合当地法律法规、政策等的要求,尤其是有关数据跨境传输、跨境组网等的许可或批准;同时,也应当确保您所进行的经营或非经营活动、相关资质/许可以及使用相关产品的全部行为等均符合当地法律法规、政策等的要求。

1.4 协议内容和效力

1.4.1 本协议内容包括本协议正文及所有我们已经发布或将来可能发布的隐私保护政策、其他相关政策、规则、声明、通知、警示、提示、说明(以下简称“规则”)等。前述规则为本协议不可分割的组成部分,与本协议具有同等法律效力。

1.4.2 本协议内容无论因何种原因部分无效或不可执行,均不影响其余部分的法律效力。如本协议条款与您所使用的具体产品功能/服务所适用的专有协议或规则的有关约定不一致时,以专有协议或规则的约定为准;如本协议条款与您在具体项目中与深信服或深信服授权经销商签署的采购合同条款相冲突,将以本协议约定为准。

1.4.3 基于互联网络的实时性、复杂性、高效性等特性以及法律规范、监管要求、政策调整等原因,您同意深信服可以不时对本协议正文或相关规则进行更新,变更后的协议或规则将以客户端端内红点形式通知用户,或在官方网站以公告形式通知并在公告期结束后即取代原协议/规则生效,或另行通过邮件、短信、系统消息推送、站内信等方式通知用户。如您不同意协议的相关变更,则应当立即停止使用当前产品及相关服务;如您继续使用,即表示您已充分阅读、理解并同意接受经修订更新后的协议。

 

第二条 账号注册、使用与管理

2.1 账号注册

2.1.1 任何使用当前产品的用户依法均应具备必要、适当的权利能力和行为能力,并按照实名认证等要求完成注册或通过其他深信服允许的方式获得账号的使用权,以应在账号注册时自觉遵守相关规范及限制,包括但不限于不得恶意注册使用当前产品账号(本条所指恶意注册行为包括但不限于频繁注册、批量注册账号、滥用多个账号、买卖账号等行为)。

2.1.2·您了解并同意,当前产品所有类型的注册账号的所有权均归属于深信服,注册完成后,您仅获得账号使用权。当前产品的账号使用权仅归属于初始申请注册人,除非法律规定或司法裁定或征得深信服的书面同意,您的账号、密码不得以任何方式出租、转让、赠与或继承(与账号相关的财产权益除外)或被提供予他人使用,否则,深信服有权立即收回该账号,由此导致的您使用产品产生的全部数据、信息等被清空或丢失等损失,您应自行承担。

2.1.3 基于当前产品的功能及定位,我们将主要面向已成年用户提供账号注册和相关功能/服务,尤其是在实体用户使用的场景,实体用户及其管理员在邀请未成年用户注册并使用当前产品前,应负责取得其监护人的同意、并通过身份证号码核验其授权/管理的未成年用户及其监护人的真实身份,以及应在整个授权使用期间均注重对未成年人用户的个人信息等合法权益予以特殊保护。

2.2 用户资料

2.2.1 用户应当按照要求填写、提交真实、合法、有效的资料(统称“用户资料”),可能包括但不限于用户名称、联系人、电子邮箱、联系电话,且您同意按照深信服的要求提交包括但不限于营业执照、资质许可文件、业务相关说明等资料,以便深信服自行或委托第三方按照相关法律法规的要求对用户的身份进行实名认证,或在必要时用于核实用户利用当前产品所开展的业务的真实性、合法性。如前述用户资料发生变更的,您应及时书面通知深信服或根据当前产品的规则自行进行更新。

2.2.2 境内用户应保证其注册的账号名称、设置的头像和简介等信息中均不会出现违法和不良信息,以及不会冒充他人或擅自使用他人的姓名、肖像或商标/标识,并保证在整个账号使用期仅均不侵犯他人的合法权益。

2.3 账号使用行为规范:用户在登录当前产品账号并使用相关功能/服务期间应自觉承担账号主体相关的法律义务,包括但不限于不得利用账号或任何功能/服务实施违反法律法规或政策要求的行为、不得采取各种技术手段干扰当前产品运行或深信服对产品的运营管理、或恶意绕开或者对抗相关功能/服务的规则等。

2.4 账号安全保护

2.4.1 账号将作为用户使用当前产品的身份识别依据,您应当对账号名称、密码等信息及账号的安全性采取必要、有效的保护措施(包括但不限于进行有效的权限控制、设置高强度密码并定期更换等)。

2.4.2 如您发现有他人盗用您的账号及密码、或任何其他未经您合法授权即获取您的账号使用权限的情形时,您应立即以有效方式通知深信服并提供必要资料(如用户资料、情况说明、证明材料及具体诉求等)。深信服收到您的有效通知并核实身份、确认事实情况后,会依据法律法规及协议/规则的约定进行处理。深信服依据本条进行处理产生的相关责任和后果由您承担。若您提供的资料存在瑕疵,导致深信服因无法核实您的身份或无法判断您的需求而未能及时处理,由此导致您遭受损失应由您自行承担。同时,您理解,深信服对您的请求进行处理需要合理期限,对于深信服采取措施前您已经遭受的损失以及采取措施后因不可归责于深信服的原因导致的损失,深信服不承担任何责任。

2.5 账号管理

2.5.1 除对账号的安全保护外,您还应建立健全内部管理制度,规范对账号的使用管理。如任何用户实际违反了本协议或其他相关规则或约定,您有义务立即通知我们,同时应采取适当的行动来制止并纠正相关违规/违约行为,并负责承担全部相关责任。

2.5.2 您理解并同意:深信服作为当前产品的运营方,将有权依旧相关法律规定或本协议及其他相关约定,在任何用户存在违反本协议或其他相关规则/约定的行为或发生账号权限相关的纠纷时,采取包括但不限于限制、暂停或终止访问/使用当前产品或其他相关服务等必要措施,以便尽可能确保产品的安全、有效运行且深信服有权自主评估建立用户账号信用管理体系,并按照用户账号使用期间的信用评价情况为用户提供服务或其他相关权益保障

2.6 管理员声明和保证

如您是经实体用户授权以管理员的身份注册当前产品账号,并通过管理员权限协助其他用户完成账号注册,以及在管理员的权限范围内对该等用户的账号注册及使用行为进行管理,您应保证您的全部相关管理行为均已获得实体用户的合法、有效、充分的授权,并将自觉按照本协议约定、以及实体用户的真实需求或意愿履行全部职责,包括但不限于基于前述约定的账号注册及使用相关规范、账号安全保护、以及账号使用期间的信息内容及其他相关规范的管理职责。深信服有理由默认管理员依其权限所从事的行为均代表相应的实体用户,并有权在管理员怠于履行本协议约定的义务时要求实体用户承担责任。

2.7 账号权限限制及终止

2.7.1 账号注销

一般而言,用户可通过当前应用直接操作注销账号的登录状态,但如您所属实体用户在邀请/授权您成为认证用户时设置了相应的限制或审批程序的除外,且认证用户的账号注销需由您所属的实体用户授权的管理员统一操作,并需满足以下条件:

2.7.1.1 账号处于正常状态,不涉及任何争议纠纷(包括投诉举报或被投诉举报),且未被有权机关采取限制措施;

2.7.1.2 账号内无未完成的交易;

2.7.1.3 账号内不存在其他未了结的权利义务或可能因注销账号而产生纠纷的情况;

2.7.1.4 无其他可能影响账号注销的情况。

深信服将停止为已正式注销账号的用户提供相关产品的全部功能及服务。账号注销后,我们将根据相关法律法规的要求以及与您或您所属实体用户的相关约定(如有)对相关数据进行妥善处理。

2.7.2 为了保护用户账号安全,深信服有权对访问异常的行为进行独立检测判断并采取相应处理措施。例如,对于注册后长期不登录或注册后长期无任何访问记录的账号,为保护用户账号安全,深信服有权限制其登录功能,用户需重新激活账号后才能正常使用,激活方式包括但不限于验证短信验证码等。

2.7.3 用户违反本协议相关约定或其他双方约定的账号使用许可权限中止或终止条件成就时,深信服有权收回或终止您所用账号的使用许可

 

第三条 产品功能服务

3.1 服务内容

3.1.1 用户理解并同意:实体用户有权基于企业经营管理、人力资源管理、以及内部信息安全管控的需求,对管理员及认证用户使用当前产品的行为以及相关数据和权益进行管理,包括但不限于新增、删除或调整相关权限、服务内容或数据等。管理员及认证用户使用当前产品的相关功能服务期间除须遵守本协议约定,还应当遵守实体用户发布的相关内部制度、规范或其他要求。

特别的,管理员根据相关实体用户的授权所进行的设置和操作行为均代表实体用户行为,实体用户应自行负责对管理员的权限和行为进行管理,如认证用户对管理员的设置和操作有任何异议,请联系实体用户相关负责人员进行反馈和处理。除法律另有规定外,深信服不就实体用户与管理员之间的授权行为、实体用户或管理员对认证用户的管控及相关权益处置行为,向实体用户或认证用户个人承担任何责任。

3.1.2 本协议仅适用于当前产品提供的功能及其他相关服务,不适用于任何其他第三方通过网页或客户端提供的服务,诸如通过当前产品开放平台相关数据应用程序开发接口API(如有)创建的任何应用、小程序、H5等形式服务、或集成其他第三方SDK或调用第三方API数据接口提供的服务(统称“第三方服务”),您在选择使用第三方服务前,应充分了解并自行确认是否接受第三方服务适用的协议或规则。

3.2 费用说明

3.2.1 用户应在使用相关产品的相关功能或服务前确认相应的费用标准、支付方式及其他与费用相关的事宜,并在确认同意接受后再正式启用。用户还需注意:您应当自行支付使用相关产品功能及服务时可能产生的上网费、流量费以及其他第三方收取的通讯费、信息费等。

3.2.2 深信服可能因营销活动举办、产品推广等各种原因,在特定时期内通过“限时免费”、“限时优惠”、“限量优惠”、“充值优惠”等方式向用户提供优惠的产品/服务,对此用户理解并同意,这些优惠产品/服务可能是附条件提供或仅向特定用户提供,且不应视为深信服已放弃针对该等产品/服务进行收费的权利,深信服有权提前一定期间通过当前产品界面或官网或其他有效方式将具体收费标准及收费方式通知用户,通知生效后,用户即应当为继续使用相关产品/服务支付相应费用。

3.2.3 特别的,针对免费试用/体验相关产品相关功能或服务的用户,深信服有权自主决定、以及按需调整用户可免费使用的功能/服务类型及期限(深信服保留对任何未书面表明免费为用户提供的功能/服务收费的权利),并将仅在法律规定或深信服明确声明的范围内为用户提供相应的技术支持与保障。深信服有权在已提前通知的情况下停止为免费试用/体验相关产品的用户提供全部功能/服务;且用户理解并同意:任何产品或服务的运维管理都需耗费一定成本,如用户超出深信服免费提供的功能/服务的范畴向深信服提出相关诉求(包括但不限于访问或导出相关使用数据),除确认该等诉求不违反相关法律规范或要求、未侵犯其他第三方主体之合法权益外,深信服有权自主评估用户诉求的合理性、以及响应用户诉求所需时限或其他必要条件,并有权要求用户自行承担满足其诉求所需的合理成本。

3.3 技术支持与保障

3.3.1 在您使用当前产品期间,为保障各项功能及相关服务的安全和稳定运行,深信服将尽力进行全面的运维管理,并将根据用户的需求和使用情况努力开发和不断优化相关功能/服务。

3.3.2 深信服提供的产品各项功能/服务视不同应用场景可能有专门适用的服务等级协议(SLA),具体功能/服务可提供的技术支持与保障将以其适用的SLA(如有)的内容为准。

3.4 使用限制

3.4.1 信息内容规范

在使用深信服提供的产品期间,境内用户承诺遵守宪法及相关法律法规,遵守公共秩序,尊重社会公德,不得制作、复制、发布、传播含有下列内容的信息,或者故意为制作、复制、发布、传播含有下列内容的信息提供技术支持或任何便利/帮助:

3.4.1.1 反对宪法所确定的基本原则,危害国家安全、荣誉和利益,泄露国家秘密,煽动颠覆国家政权,推翻社会主义制度,煽动分裂国家,破坏国家统一;

3.4.1.2 宣扬恐怖主义、极端主义,宣扬民族仇恨、民族歧视,破坏民族团结,破坏国家宗教政策,宣扬邪教和封建迷信;

3.4.1.3 编造、传播扰乱金融市场或经济秩序的信息;

3.4.1.4 编造、传播险情、疫情、警情、自然灾害、生产安全、食品药品等产品安全以及其他方面扰乱社会秩序的信息;

3.4.1.5 仿冒、假借国家机构、社会团体及其工作人员或者其他法人名义散布的信息,或者为实施违法犯罪而冒用他人名义散布的信息;

3.4.1.6 散布煽动非法集会、结社、游行、示威或者其他扰乱社会管理秩序、破坏社会稳定的信息;

3.4.1.7 传播淫秽色情、暴力、赌博、凶杀、恐怖的信息,以及教唆犯罪,传授犯罪手段、方法,制造或者交易违禁物品、管制物品,实施诈骗以及其他违法犯罪活动的信息;

3.4.1.8 侮辱或者诽谤他人,侵害他人名誉、隐私、知识产权或者其他合法权益,以及危害未成年人身心健康,不利于未成年人健康成长的信息;

3.4.1.9 法律、行政法规禁止的其他信息。

在使用深信服提供的产品期间,境外用户承诺遵守可适用的法律法规,遵守公共秩序,尊重社会公德,不得制作、复制、发布、传播含有违反相关法律法规的信息,或者故意为制作、复制、发布、传播含有违法内容的行为提供技术支持或任何便利/帮助

3.4.2 软件使用规范

在使用深信服提供的产品期间,您承诺不自行或帮助/指使他人从事以下行为:

3.4.2.1 通过上传、公开发布或定向发送等方式传播可能干扰、破坏或限制任何计算机软件、硬件或通讯设备功能的软件病毒或其他计算机代码、程序或相关资料等;

3.4.2.2 通过技术手段非法侵入、破坏、干扰、改变或试图改变产品的相关功能、软件、服务器系统、网络的运行或连接,或者修改、增加、删除、窃取、截留、替换产品之客户端或服务器系统中的数据,或者非法挤占产品之服务器空间,或者实施其他的使之超负荷运行的行为;

3.4.2.3 擅自通过扫描等方式挖掘/探测产品软件或服务器系统等可能存在的漏洞或缺陷,或违反相关法律规定发布漏洞或缺陷,或利用相关漏洞或缺陷从事损害相关产品及深信服的任何行为;

3.4.2.4 制作、发布、传播用于上述用途的软件、介质或方法等,无论相关行为是否出于商业目的。

3.4.3 其他行为规范:境内用户在使用深信服提供的产品的整个期间,应时刻谨慎作为,严格避免从事任何违反遵守法律法规、社会主义制度、国家利益、公民合法利益、公共秩序、社会道德风尚和信息真实性等“七条底线”要求的行为。同时,境内用户及境外用户均不应从事任何侵犯其他用户或第三方合法权益、干扰深信服正常经营或产品运行、或其他深信服未明示授权的行为,且用户承诺将不对其他第三方从事前述行为提供任何便利或帮助。

3.4.4 违规行为处置规范

用户同意并接受深信服有权对使用当前产品功能及其他相关服务的情况进行持续的监督、审查深信服发现您存在任何违反第3.4前款约定的行为或接收到来自第三方机构或个人提出的关于您实施违法或侵权行为的质疑或投诉,深信服有权对相关行为或信息内容进行查证或核实,以及根据具体情况采取相应的处置措施,包括但不限于立即中止/终止使用相关功能/服务删除相应信息以及向有关部门报告并有权视必要情况要求您于限期内提交相关说明或证明材料,对此您同意将予以配合深信服在前述情形下采取相应措施而给您造成的损失,深信服不承担任何法律责任,同时深信服将保留追究您的法律责任以及向您索赔所遭受的全部损失的权利(包括但不限于因维权而产生的调查费、诉讼/仲裁费、律师费,以及因此所遭受的业务损失或索赔等)。

3.5 服务中止与终止

3.5.1 为了向用户提供更加完善和优质的产品/服务,深信服有权定期或不定期地对当前产品应用程序或相关基础设施/设备、系统、软件等进行检修、维护、升级及优化等(统称“常规维护”),如因常规维护造成当前产品功能/服务在合理时间内中断或暂停的,深信服无需为此向用户承担违约或损害赔偿责任。但是,深信服应当提前就常规维护事宜通知用户。若因不可抗力因素、基础运营商过错等原因导致须进行非常规维护,深信服将尽可能及时通知用户。

3.5.2 为保证产品/服务的安全性和稳定性,深信服可能进行机房/数据迁移、设备更换等重大调整,前述情况可能导致产品相关功能/服务在合理时间内中断或暂停,深信服无需为此向您用户承担违约或损害赔偿责任,但是,深信服将提前通知用户,用户应予以配合;如用户不配合进行调整,或深信服无法与用户取得联系,由此产生的后果将由用户自行承担。

3.5.3 深信服有权根据自身运营安排,随时调整或终止产品的部分或全部功能/服务(包括但不限于对相关功能/服务进行下线、迭代、整合等)。但是,深信服应至少提前30天通知用户,以便用户做好数据转移备份或业务调整等相关准备工作,尽可能避免产生不必要的成本或损失。

3.5.4 用户理解并同意,深信服通过本协议条款或其他方式与用户约定的服务中止或者终止条件成就时,深信服有权以发送单方通知的方式中止或终止为用户提供本协议约定的服务:

3.5.4.1 本条所指的服务中止条件包括但不限于:因用户拒绝同意本协议或其他相关规则更新、或用户在许可使用期限截止后未及时续费、或因用户违反本协议约定的各项义务等其他用户自身原因而导致暂时无法使用产品相关功能/服务;

3.5.4.2 本条所指的服务终止条件包括但不限于:因用户未及时续费超过一定期间、或因用户违反本协议约定义务而导致不满足使用产品相关功能/服务的必要条件、或因用户违反法律规定而给深信服带来实际损害。

 

第四条 双方的权利与义务

4.1 就深信服为用户提供的当前产品相关功能及服务,深信服以及本协议条款及条件授予用户一项不可转让、非排他性、不可转授权、且可撤销的使用许可。除此之外,本协议条款及条件未明示授予用户的其他一切权利仍由深信服保留,用户在行使这些权利时须另外取得深信服的书面许可,且深信服如未行使前述任何权利,并不构成对该权利的放弃。

4.2 用户应在遵守相关规则及限制的前提下使用当前产品。除非另有说明,用户对本协议项下的产品功能及服务仅限于非商业用途使用,用户承诺不对当前产品功能及服务的任何部分之使用或获得,进行复制、拷贝、出售、转售或用于包括但不限于广告及任何其它商业目的。

4.3 深信服应按照所签署的合同、本协议或相关规则、以及用户的配置或其他形式的授权/指示为用户提供当前产品功能/服务,并将持续努力开发和全力运维,以便为用户提供更加符合使用需求、具备更优使用体验产品功能或服务,并在用户使用过程中尽可能提供全面的支持与保障。在此过程中,深信服可能采取软件替换、修改、功能强化、版本升级等方式为用户提供产品更新,并视必要情况通过弹窗或公告等方式将更新情况告知用户。

4.4 用户承诺遵守本协议可能适用的联合国、中国、美国、欧盟以及其他国家出口管制和经济制裁相关法律法规,且用户需保证其自身及所属实体用户均不属于任何国家、地区或国际组织实施的贸易限制、经济制裁或其他法律法规限制的对象,以及不会将当前产品提供的功能及相关服务直接或间接地提供给适用的出口管制和经济制裁法律所列出的制裁国家/地区或受限名单上的实体或个人,也不会将本服务及相关内容直接或间接地用于适用的出口管制和经济制裁法律法规禁止的用途,否则深信服有权立即终止向您提供服务,并保留向您索赔所遭受的全部损失的权利。

4.5 双方的保密义务:

4.5.1 保密资料指由一方向另一方披露的所有技术及非技术信息(包括但不限于产品或服务的价格或营销方案等相关资料、业务规划及战略、客户名单及客户信息、财务信息、产品开发情况或相关技术方案等)。

4.5.2 本协议任何一方同意对获悉的对方之上述保密资料予以保密,并严格限制接触上述保密信息的人员遵守本条之保密义务。除非国家机关依法强制要求或上述保密资料已经进入公有领域外,接受保密资料的一方不得对外披露。

4.5.3 本协议双方明确认可各自拥有的业务数据等信息是各自的重要资产及重点保密信息,并同意尽最大的努力保护上述保密信息等不被披露。一旦发现相关保密信息泄露的风险/隐患或事件,双方应合作采取一切合理措施避免产生或减轻损害后果。

4.5.4 本条约定的双方的保密义务不因本协议的终止而失效。

 

第五条 数据处理说明

5.1 用户使用当前产品涉及需由深信服直接处理或受托处理数据的具体情况,包括但不限于数据类型、处理目的及方式、以及数据安全保护等,将通过《隐私保护政策》集中向用户进行说明。

5.2 在个人用户使用场景,深信服将作为数据处理者,基于为个人用户提供所需的功能/服务的目的,处理当前产品使用期间的全部数据,包括相关必要的个人信息。

5.3 实体用户及其管理员、认证用户使用当前产品的场景,深信服仅作为受托人,将按照实体用户购买、并配置开通具体功能/服务的情况、以及安全管理需求为用户提供相应的功能/服务,并基于提供功能/服务的必要而受托对实体用户授权的数据(包含相关个人信息)进行处理,针对此种情形,深信服与用户达成特别约定如下:

5.3.1 用户理解及同意,数据主体的个人信息及所有权归属于个人的电脑电子数据等资产相关的合法权益均受相关法律保护,因此使用深信服提供的产品/服务过程中涉及处理认证用户或其他个人主体的个人信息或个人资产,您应自行保证未侵犯个人主体的人身、财产相关的一切合法权益,如:涉及收集并处理个人信息时,除归属于管理员本人的个人信息可由管理员在确认签署本协议时完成授权同意以外,用户应确保已经获得其他相关个人主体的明示同意,并在此前提下授权深信服为您提供本协议约定的产品及服务如您违背前述保证事项,由此导致违反相关法律规定或侵犯相关个人合法权益等后果均由您自行负责承担。

5.3.2 如前所述,由于深信服仅按照用户的授权委托而提供当前产品的功能/服务,并基于此处理相应的数据,过程中深信服对于受托处理的数据的具体内容不承担审核责任,用户应当自行对内容的合法性负责。如用户利用当前产品的功能承载/传播/发布任何违反法律法规、部门规章或国家政策的数据内容,由此造成的全部果及责任用户自行承担,并且深信服留存的系统日志或其他相关记录数据有可能作为您违反法律法规的证据。

5.3.3 用户应根据自身需求自行对使用产品的相关数据进行备份。虽然深信服将在为用户提供相关功能/服务的过程中留存日志等必要数据,但深信服将仅按照所在地区相关法律法规的规定或您的授权、在符合最小化原则的要求下存留该等数据,而不对用户数据备份工作或结果承担任何责任;如用户需深信服协助您对相关数据进行导出或进行查询/检索,在不违反相关法律规定的前提下,深信服有权要求用户负责承担数据处理与维护所需的相应成本,用户与深信服专门就数据备份或相关处理已达成约定的除外。

 

第六条 知识产权

6.1 深信服及其关联公司作为为您提供的产品/服务所包含的相关知识产权的权利人,依法享有相关著作权、商标权、专利权等知识产权以及商业秘密法律保护。知识产权是深信服业务赖以存续的宝贵的无形资产,既包含在用户使用的深信服产品或服务的解决方案之中,也包含在用户认准深信服的商标和标识等品牌形象中。本协议的任何条款均不构成向您转让知识产权或授予任何知识产权的许可,双方另有书面约定的除外。基于业务运营的目的,深信服有权使用您关于本产品的任何反馈,而无需另行获得您的同意或进行任何赔偿。

6.2 与此同时,您理解并同意:在使用深信服的产品或服务的过程中,不得以任何方式侵犯深信服所拥有的知识产权及其他合法权益,包括但不限于不得在未经深信服书面同意的情况下基于商业或者非商业的目的自行或许可任何第三方实施、许可、转让上述涉所及的知识产权,不得对深信服为您提供使用的软硬件产品和/或其中的任何部分进行复制、修改、反汇编、反编译、逆向破解、反向工程等操作,或者通过任何方式试图访问或者截取深信服产品中任何源代码,不得避开或破坏深信服为保护知识产权而采取的技术措施,不得擅自修改、破坏或掩盖深信服产品或系统平台上标注的商标或标识等。深信服保留追究任何侵犯知识产权的合法权利。

6.3 您理解并同意授权深信服在宣传和推广中使用您的名称、商标、标识,但仅限于表明您属于我们的客户或合作伙伴。

 

第七条 责任限制和免责条款

7.1 您理解并同意,在使用当前产品的过程中可能会遇到以下情况使功能/服务发生中断。出现下述情况时,深信服及时与相关单位配合进行修复,但对于由此导致所遭受的损失深信服将无法承担

7.1.1 受不可抗力因素影响,包括但不限于自然灾害、政府行为、法律法规颁布调整、罢工(任一方内部劳资纠纷除外)、动乱等不能预见、不能避免并不能克服的客观情况;

7.1.2 受基础运营商服务影响,包括但不限于电信部门技术调整、电信/电力线路被他人破坏、电信/电力部门对电信网络/电力资源进行安装、改造、维护等;

7.1.3 发生网络安全事故,如计算机病毒、木马或其他恶意程序、黑客攻击等;

7.1.4 您通过非深信服允许的方式使用产品相关功能或服务,或因您操作不当、账号丢失或被盗,或您的电脑软件、系统、硬件和通信线路出现故障等原因而导致的功能或服务无法正常使用;

7.1.5 其他非深信服过错、且深信服无法控制或合理预见的情形。

7.2 如因您所运营/管理的业务的特殊性,您使用相关产品需以第三方的授权或许可为前提,则您应保证已经满足该前提,深信服将基于您的前述保证接受您的委托为您提供本协议约定的产品或服务,且深信服对您所为的违背与第三方之间的约定、或侵犯第三方其他合法权益的行为不承担任何形式的连带责任

7.3 您理解并认可当前产品及深信服均将保持与第三方产品、服务或其他业务或内容的独立性,对于由第三方提供的软/硬件、插件、工具或发送的广告、推广或宣传信息(包括商业或非商业信息)等的合法性、可靠性、适用性或质量等问题,您应当自行判断并为自己的判断行为负责除法律明确规的外,对于您因第三方提供的产品/服务/信息内容而遭受的损失或损害,深信服概不承担任何责任。

7.4 您理解并同意,深信服为您提供的产品及服务均是按照现有技术和条件所能达到的现状提供的。深信服将尽最大努力为您提供优质的产品/服务,但由于受行业技术水平限制或其他客观因素影响,深信服无法保证所提供的产品/服务毫无瑕疵或完全适用于您的业务需求。因此,除深信服在特定场景中向您作出明示保证的事项外,深信服提供的产品/服务所涉及的技术信息的有效性完整性、准确性可靠性及时性均不作承诺和保证,也无需承担任何责任如用户在使用相关产品的过程中,出现超出双方承诺或认知范围的技术或其他方面的问题,双方可通过友好协作寻求共同解决。

7.5 不论在何种情况下,深信服均不对任何间接性、惩戒性、突发/偶然性、特殊性的损害后果承担责任前述损害后果的类型包括但不限于利润损失利息损失、营业中止、数据或其他资产毁损灭失等

7.6 深信服基于为您提供的产品/服务违反所适用的协议条款或规则而应承担的违约或损失赔偿责任总额不超过提供相应产品/服务所收取的费用总额。

 

有效通知

8.1 您应当保证和维持用户资料(包括但不限于电话号码、电子邮箱等联系方式)的真实有效性,用户资料若存在虚假、无效等任何可能导致您无法及时获悉业务通知、功能/服务提示、技术支持、纠纷协调、违规处罚等信息的,由您自行承担相应责任。

8.2 您应当根据本协议或深信服官方网站公布的联系方式向深信服发送通知,双方另有约定除外。

8.3 深信服可通过网页公告、系统通知、站内信、电子邮件、手机短信、即时通讯工具、函件等方式中的一种或多种向您发送与产品/服务有关的通知、提示、验证消息、营销信息等各种信息(包括但不限于更新后的用户协议、相关规则、产品/服务升级、机房裁撤、广告等)。前述信息在以下情况下视为已送达(如果送达时间为法定节假日的,则以送达后首个工作日为送达日):

8.3.1 交专人递送的,在收件人签收时视为已送达。

8.3.2 以网页公告等形式公布的,一经公布即生效(另有说明除外)。

8.3.3 以电子形式(包括系统通知、站内信、电子邮件、手机短信、即时通讯工具等)发送的,在发送成功后视为已送达。

8.3.4 以邮资预付的快递公司递送或以挂号信递送的,以投邮后的第3个自然日视为已送达。

 

条 法律适用及争议解决

9.1 如果您是境内用户,则本协议签订地为广东省深圳市南山区。本协议的成立、生效、履行、解释及纠纷解决等相关事宜,均适用中华人民共和国法律(不包括法律适用法);如无相关法律规定的,则可参照适用商业实践惯例。若您和深信服之间发生任何纠纷或争议,首先应友好协商解决;协商不成的,您同意将纠纷或争议提交协议签订地有管辖权的人民法院管辖。

9.2 如果您是境外用户,则本协议适用中国香港的法律(不包括法律适用法)。因本协议产生或与本协议有关的任何争议、争论、分歧或权利主张,包括本协议的成立、效力、解释、履行、违约或终止,或因本协议引起或与之相关的非合同义务的任何争议,均应提交并最终由香港国际仲裁中心(HKIAC),根据提交仲裁通知时有效的香港国际仲裁中心机构仲裁规则进行仲裁。仲裁地为香港,仲裁员人数为三人,仲裁程序应以英文进行。

 

第十条 其他

本协议所有条款的标题仅为内容概述,目的在于方便阅读,标题本身不能单独作为本协议条款内容解释的依据。

1. 我们如何收集和使用您的个人信息

您当前使用的VDI Client应用是深信服基于满足实体用户内部办公管理需求而开发提供的、需配套部署在实体单位指定的服务器上的VDC设备使用的应用程序。为了向用户提供VDI Client的功能及服务,并持续维护各项功能及服务的正常运行,同时及时识别账号异常状态、尽可能保障您的账号安全、以及不断改进和优化应用的使用体验,我们会出于本政策下述目的收集和使用您在注册、使用应用时主动提供、授权提供或基于您所在实体用户要求提供的信息,以及您使用本应用时产生的信息:

1.1 帮助您成为VDI Client的认证用户

如您基于所在实体用户的需求使用VDI Client,则将由您所在实体用户的管理员为您创建本应用的账号,管理员可选择将您的姓名或工号作为账号,并为您设置初始密码,创建完成后,您可通过账号及初始密码登录,登录后您可自行修改密码,以及绑定手机号。您登录使用VDI Client的账号、密码及提交的手机号码将通过应用传输至您所在实体用户管理的VDC服务器上,以便于您所在实体用户进行统一管理。

1.2 使用VDI Client功能/服务过程中收集的信息

1.2.1 基于应用的安装和基本功能使用需求,在安装和使用过程中将通过设备权限启用获取相应信息,并传输至VDC服务器进行处理,如:

1.2.1.1 在启用网络访问相关权限后,将识别移动端设备连接的网络类型及名称信息、以及在必要时获取设备连接WIFI的MAC地址用于身份认证;

1.2.1.2 开启蓝牙权限后,将获取蓝牙名称作为设备名称;

1.2.1.3 开启读取手机状态权限后,将获取手机硬件特征码传输至VDC服务端;

1.2.1.4 通过应用中内置的MDM服务识别设备开机状态并获取设备当前运行的应用程序列表信息;

1.2.1.5 开启设备录音权限后,将在您通过应用访问VDC服务端的虚拟机资源中的话务系统软件等涉及音频记录的相关应用或功能时,在您的设备端进行录音并将生成的录音数据传输至VDC服务端;

1.2.2 第三方SDK采集的信息

1.3 使用VDI Client功能/服务过程中需申请的权限

为了向您和相应的实体用户提供本应用的相关功能及服务、并保障功能和服务的正常运行,我们将需要向您申请启用相关的权限,具体说明如下:

您理解并同意,您所属的实体用户相关数据的控制者,同时也是其中涉及的您的相关个人信息的处理者,应自行承担其管理的个人主体相关合法权益保障义务及法律责任。深信服将在实体用户授权包括但不限于通过管理员的操作、配置等方式的前提下相关必要数据进行受托处理。实体用户应自主管控其基于经营管理人力资源管理、内部信息安全管控等目的而授权我们进行处理的信息范围,特别的,如您作为实体用户授权的管理员,您应确保您选择启用相关功能/服务以及进行相应的使用设置均是严格按照您所属实体用户的实际需求及有效指示,并确保您所属实体用户在通过您向我们提供本政策所需的处理相关个人信息全部授权前已经获得对应个人主体的有效授权。

1.4 您主动向我们提供的其他信息

1.4.1 应用运行维护涉及的相关信息:当您使用VDI Client应用的过程中出现故障问题时,我们需要您提交设备上存储的应用运行相关日志数据,以帮助我们通过分析日志数据识别问题并及时解决问题,此类运行日志数据中不包含任何您的个人信息。

1.4.2 在使用本应用的功能及服务的过程中,您还可以对相关体验问题进行反馈,以帮助我们更好地了解您对我们产品的需求,进而帮助我们不断改进产品功能及使用体验,为此我们会记录您主动提交的联系方式、反馈的问题或建议,以便我们进一步联系您并反馈我们的处理意见。

1.5 基于其他目的收集的信息

您理解并同意,我们向您提供的产品功能和服务是不断迭代升级的,如我们需超出本政策说明的范围收集并处理您的个人信息,我们将会通过页面提示、交互设计等方式另行向您明示所涉及的信息内容、范围和处理目的,并征得您同意。

1.6 收集、使用个人信息的授权同意例外

您充分知晓,依据可适用的法律,在以下情形中,我们收集、使用相关个人信息无需征得您的授权同意:

1.6.1 与我们履行法律法规规定的义务相关的;

1.6.2 与国家安全、国防安全直接相关的;

1.6.3 与公共安全、公共卫生、重大公共利益直接相关的;

1.6.4 与刑事侦查、起诉、审判和判决执行等直接相关的;

1.6.5 出于维护您或其他个人的生命、财产等重大合法权益但又很难得到本人授权同意的;

1.6.6 所涉及的个人信息是您已自行向社会公众公开的;

1.6.7 为签订和履行您或与我们之间达成的合同/协议所必需的;

1.6.8 从合法公开披露的信息,如合法的新闻报道、政府信息公开等渠道,收集相关个人信息的;

1.6.9 维护我们提供的产品或服务的安全稳定运行所必需的,如发现、处置产品或服务的故障。

 

2. 我们如何存储这些信息

2.1 我们在中华人民共和国境内处理/受托处理的数据信息将存储于中华人民共和国境内的服务器上,我们在欧盟经济区处理的数据境存储于德国境内的服务器上,我们在其他区域处理的数据存储于马来西亚境内的服务器上。存储于深信服服务器的数据信息均将按照相关法律规定或与用户约定的期限(需满足为用户提供产品或服务的必要需求)存储。

2.2 若为了处理跨境业务,确需向境外机构传输境内处理的相关数据信息的,我们会另行向您告知并征得您的同意,并按照法律、行政法规和相关监管机构的规定执行。我们会确保相关个人信息得到足够的保护,例如对个人信息进行匿名化处理、采取安全加密措施存储和传输等。

2.3 您了解并同意,为了安全及备份的需要,我们可能将所处理的数据信息储存到关联公司的服务器上。

 

3. 我们如何共享、转让、公开披露相关信息

3.1 共享

除下列情形外,我们不会将处理/受托处理的个人信息共享给第三方:

3.1.1 已征得您的明确同意;

3.1.2 我们可能会根据法律法规规定,或按政府主管部门的强制性要求,对外共享相关个人信息;

3.1.3 视为用户提供产品或服务功能的必要情况,将相关个人信息共享给包括关联公司或授权合作方在内的第三方:

我们可能需要与第三方合作以达到提升产品或服务的安全性、优化用户使用体验的目的,基于此我们可能将部分个人信息共享给第三方,我们承诺将在共享前将具体的共享目的、方式和信息范围明确告知于您,并征求您的同意。

我们向您承诺我们仅会在必要范围内向合作伙伴共享您的相关个人信息,并尽可能对信息进行去标识化处理,以便合作伙伴无法直接识别到相关个人。此外,该合作伙伴对所接收的信息的处理将受本部分内容的约束。我们将严格禁止合作第三方在未经用户授权同意的情况下将共享的信息用于其他目的。

3.2 转让

我们不会将处理/受托处理的个人信息转让给任何公司、组织和个人,但以下情况除外:

3.2.1 已征得您的明确同意;

3.2.2 在涉及合并、收购或破产清算时,如涉及到个人信息转让,我们会要求新的持有您的个人信息的公司、组织继续受此隐私保护政策的约束,否则我们将要求该公司、组织重新向您征求授权同意。如果不涉及个人信息转让,我们会对您进行充分告知,并将我们处理的个人信息进行删除或匿名化处理。

3.3 公开披露

我们不会将相关个人信息进行公开披露,但以下情况除外:

3.3.1 基于已征得您的明确同意或您的主动选择,我们可能会公开披露相关个人信息;

3.3.2 基于法律规定/要求的披露:在法律、法律程序、诉讼或政府主管部门强制性要求的情况下,我们可能会公开披露相关个人信息;

3.3.3 出于维护公共利益的目的,披露是合理且必须的,则我们可披露相关个人信息。

3.4 在以下情形中,我们共享、转让、公开披露相关个人信息无需事先征得的授权同意:

3.4.1 基于与国家安全、国防安全相关的原因;

3.4.2 基于与公共安全、公共卫生、重大公共利益相关的原因;

3.4.3 基于与犯罪侦查、起诉、审判、和判决执行相关的原因;

3.4.4 出于维护用户或其他个人的生命、财产等重大合法权益但又很难征得您的同意的;

3.4.5 披露从合法公开的信息中收集的数据信息的,如合法的新闻报道、政府信息公开等渠道;

3.4.6 出于维护所提供产品或服务的安全稳定运行所必需,如发现、处置产品或服务的漏洞或故障问题。

 

4. 我们如何保护这些信息

4.1 深信服非常重视信息安全,我们将运用各种安全技术,包括安全加密、防入侵、防病毒等,来保护信息安全,以免遭受未经授权的访问、使用、披露、滥用、修改、或损坏或灭失。

4.2 深信服将建立用户信息安全管理制度及工作流程,对用户信息的访问进行严格的权限管控,对接触个人信息的工作人员进行权限限制及安全和保密相关培训,并定期进行个人信息安全风险评估,及时处置相关风险问题,以便不断提升个人信息保护的安全能力。

4.3 互联网环境并非百分之百安全,我们将尽力确保所处理的相关个人信息的安全性。如果我们的物理、技术、或管理防护设施遭到破坏,导致相关个人信息被非授权访问、公开披露、篡改、或毁坏,导致您的合法权益受损,我们将承担相应的法律责任。

4.4 如果不幸发生信息安全事件(泄露、丢失等),我们将按照法律法规的要求,采取合理方式及时向您告知包括安全事件的基本情况、可能的影响、我们已采取或将要采取的措施、您可自主防范和降低风险的建议、对您的补救措施等,同时,我们还将按照监管机构要求,主动上报个人信息安全事件的处置情况。

4.5 虽然我们愿意尽最大努力采取合理措施保护用户信息的安全,但没有任何安全措施能够百分之百完美或牢不可破。由于用户将所使用的产品/服务账户密码告知他人或违反产品/服务使用相关协议的约定等用户自身原因、或因黑客攻击/病毒侵入等第三方原因、或不可抗力因素导致发生用户信息泄露/丢失等安全事件,您理解深信服将无法承担任何直接或间接的损失或责任。

 

5. 您如何访问和管理您的个人信息

5.1 您理解并同意:我们将为您提供访问和管理您的个人信息的基本功能,但由于VDI Client产品的功能开发及相关服务提供均致力于为实体用户提供助力业务开展和效益增长的解决方案,因此当您所属实体用户在邀请/授权您成为个人用户时对您使用相关功能设置了相应的限制或审批程序,则您需按照实体用户的要求执行。深信服承诺将基于法律规定或协议约定的义务及商业道德,保障您对您的个人信息所享有的相关合法权益。若非因受所属实体用户的管理限制,您在访问、更正相关个人信息或行使其他个人信息管理权利的过程中遇到任何问题,您可以通过本政策中披露的方式与我们联络。

5.2 账号注销或解除绑定

您需联系您所属实体用户相关管理人员协助您注销本应用的账号,境内用户可要求其在15个工作日内完成账号注销相关的核查和处理。在账号注销或解除相关绑定关系后,我们将停止为您提供本应用的全部功能及服务,并根据相关法律法规的要求以及与您或您所属实体用户的相关约定(如有)删除您的个人信息或进行匿名化处理。

5.3 在以下情况下,您也可以向我们提出删除相关个人信息的要求:

5.3.1 我们处理/受托处理相关个人信息的行为违反相关法律法规;

5.3.2 我们主动收集、使用您的个人信息,却未征得您的明确同意;

5.3.3 我们处理/受托处理相关个人信息的行为严重违反相关协议约定。

5.4 响应您行使管理权的请求

5.4.1 您理解并同意:基于前述我们对处理/受托处理个人信息的目的的说明,您对信息的管理可能与您正常注册、使用产品或服务的需求产生冲突。因您自主行使对数据信息的管理权而导致产品或服务的使用障碍或遭受的损失,我们将无法承担责任。

5.4.2 对于您合理的请求,我们原则上不收取费用,但对多次重复、超出合理限度的请求,我们将视情况收取一定成本费用。对于无端重复、或需要过多技术投入(例如需开发新系统或从根本上改变现行惯例)、或可能给他人合法权益带来风险或者非常不切实际(例如涉及备份磁带上存放的信息)的请求,我们可能会予以拒绝。

5.4.4.7 响应您的请求将导致相关个人、组织的其他合法权益受到严重损害的;

5.4.4.8 涉及商业秘密的。

7.2 我们的未成年用户的监护人或对未成年用户拥有管理权限的实体用户或管理员请您关注该未成年用户是否是在取得监护人的授权同意之后使用我们的产品/服务并慎重处理/委托我们处理该未成年用户的相关个人信息您对我们处理/受托处理您所监护的未成年人的个人信息有相关疑问时,请通过第9节中的联系方式与我们联系。

 

8. 本政策的更新

8.1 我们根据产品/服务的更新或业务实践需要,可能会不定期修订、更新本政策的内容,并将采取适当的方式向您呈现更新后的政策内容。

8.2 对于重大修订,我们会提供显著的通知(例如,我们可能会通过消息推送、网站公示的方式进行通知,说明本政策的具体变更内容),尽可能通过可行的渠道和方法,将变更通知您。您也可通过本应用内部界面查询本政策的最新更新版本。

8.3 本政策所指的重大变更包括但不限于:

8.3.1 我们在控制权、组织架构等方面发生重大变化。如并购重组、业务调整等引起的所有者变更等;

8.3.2 我们的产品功能/服务模式发生重大变化,导致处理/受托处理用户信息的目的、信息类型、处理方式等方面情况的重大变化;

8.3.3 用户信息共享、转让或公开披露的主要对象发生变化;

8.3.4 您参与用户信息处理方面的权利及其行使方式发生重大变化;

8.3.5 我们负责处理用户信息安全的责任部门、联络方式及投诉渠道发生变化;

8.3.6 用户信息安全影响评估报告表明存在高风险。

End User License Agreement

Foreword

To use Sangfor Products and related services, you should carefully read and fully understand all terms of this Agreement, especially those terms exempting or limiting the liability of Sangfor, terms limiting your rights, and terms on dispute resolution and jurisdiction, as well as targeted or specific agreements or rules. The limitation or exemption of liability terms or other terms involving your major rights and interests will be highlighted in bold or underlined for your attention.

Please do not use the current Product, unless you have fully read, understood, and agreed to be bound by all terms of this Agreement. By using the current Product after registering an account for or logging in to the Product or directly through other means such as obtaining account permissions, or by accepting this Agreement expressly or impliedly, you acknowledge that you have read and agreed to sign this Agreement.

This Agreement shall constitute a legally binding document between the Parties from the effective date first set forth above, unless otherwise agreed upon by Sangfor and you.

 

Important Definitions

Product: means all forms of solutions provided by Sangfor, including but not limited to software products, hardware products, subscription services, licenses, or other related services, or a combination of the foregoing.

Customer: means a customer that has purchased, or plans to purchase and use, or tries out a Sangfor Product, or any signed distributor that carries out business in collaboration with Sangfor, or any other type of partner, including but not limited to a legal person, government agency, other organization, partnership, or individual business.

Customer Administrator: means an individual appointed by the Customer who is granted the permission to configure and manage all features and services of related Products (hereinafter referred to as the "Administrator"). The Administrator may also assign the permission to manage specific features or services to other individual users based on the management requirements of the Customer.

Authenticated User: means a subject who has obtained an account for or permissions to use a specific Product by registering an account or in any other way permitted by Sangfor and uses the Product features based on the Customer's authorization or instructions or for the purpose of meeting the Customer's requirements. The subject may be an employee or manager of the Customer, or any other person authorized by the Customer.

Non-authenticated User: means a subject who has not registered an account or has only registered an account without completing the identity authentication of the Customer or the binding or association of the identity to the account, and browses only the relevant information of a Product or uses specific Product features within a limited scope.

User: means the Customer, Authenticated User, and Non-authenticated User, which are hereinafter referred to collectively as the "User", "you" or "your", regardless of where the Sangfor server you are connecting to is located.

 

1. General Provisions

1.1 Contracting Parties: This Agreement is made and entered into by and between the User who uses the features of the current Product and related services and Sangfor. Specifically, if you are a Domestic User, you are entering into this Agreement with Sangfor Technologies Inc.; and if you are an Offshore User, you are entering into this Agreement with Sangfor Technologies(Hong Kong) Limited. Sangfor Technologies Inc. and Sangfor Technologies(Hong Kong) Limited will be referred to collectively as Sangfor. You and Sangfor may be hereinafter referred to individually as a "Party", and collectively as the "Parties".

 

1.2 Legal Operation Warranty: Both Parties warrant that they have obtained legal business qualifications or government approvals in accordance with applicable laws and regulations,and that they have the right to operate their respective products, services, or other business in accordance with the law. Both Parties further warrant that they shall maintain the business qualifications or approvals required by applicable laws and regulations during the term of this Agreement and that the development, provision and use of the products and services under this Agreement will comply with applicable laws and regulations. Sangfor provides various technical products and services to you as agreed upon by the Parties or as authorized by you, but we will not participate in the operation of your business or relevant websites, applications, software, or platforms. You shall independently operate and take full responsibility for your websites, applications, software, platforms, or any other products, services, and related content.

1.3 Content and Effect of the Agreement

1.3.1 The content of this Agreement includes the text of this Agreement and all privacy policies, other relevant policies, rules, statements, notices, warnings, tips, and instructions that we have issued or may issue in the future (hereinafter referred to as the "Rules"). The above Rules are an integral part of this Agreement, and shall have the same legal effect as this Agreement.

1.3.2 If any part of this Agreement becomes invalid or unenforceable for any reason whatsoever, it shall not affect the legal effect of the remaining parts hereof. In the event of any inconsistency between this Agreement and the specific agreement or rules applicable to a Product feature or service, the specific agreement or rules shall prevail. In the event of any conflict between this Agreement and the purchase contract you have entered into with Sangfor or an authorized distributor of Sangfor in a specific project, this Agreement shall prevail.

1.3.3 Based on the timeliness, complexity, efficiency, and other characteristics of the Internet, and adjustments to laws and regulations, regulatory requirements, or policies, or other reasons, you agree that Sangfor may update this Agreement or applicable Rules from time to time, and the updated Agreement or Rules will be notified to you in the form of a red dot in the app or an announcement published on our official website, in which case, the updated Agreement or Rules will supersede the original Agreement or Rules upon expiration of the announcement period, or notified to you by email, SMS, system notification, private message, or otherwise. If you do not agree to the updated Agreement, you should immediately cease the use of the current Product and related services. By continuing using the Product, you acknowledge that you have fully read, understood, and agreed to be bounded by the updated Agreement.

2. Account Registration, Use, and Management

2.1 Account Registration

2.1.1 Any User who uses the Product shall have necessary and appropriate capacities for rights and conducts in accordance with the law, complete registration according to the real name authentication and other requirements or obtain the right to use an account in any other way permitted by Sangfor, and conscientiously observe applicable rules and restrictions when registering an account, including but not limited to: not registering and using the account in bad faith (the bad faith registration mentioned in this clause includes but is not limited to frequent or batch registration of accounts, abuse of multiple accounts, and trading of accounts).

2.1.2 You understand and agree that the ownership of all types of registered accounts of the current Product remains with Sangfor, and after completing the registration of an account, you only obtain the right to use the account. The right to use an account of the current Product shall vest in the initial registration applicant. Unless otherwise provided by law, or decided by the competent judicial authority, or agreed upon in writing by Sangfor, your account and password shall not be leased, transferred, gifted, inherited (except for the account-related property rights and interests), or made available to any third party. Otherwise, Sangfor reserves the right to take back the account immediately, and you shall bear the loss arising from the clearing or loss of the data and information relating to your use of the Product.

2.1.3 Based on the Product positioning and features, we provide account registration and related features or services mainly for adult users. Before instructing or authorizing a minor to register an account for a Product or otherwise use the Product, a Customer and its Administrator shall obtain the consent of the minor's guardian and verify the true identity of the authorized minor and the minor's guardian through their ID numbers, and shall pay attention to giving special protection to the minor user's personal information and other legitimate rights and interests during the use of the Product.

2.2 User Information

2.2.1 You shall fill in and submit true, legal, and valid information (hereinafter referred to as "User Information") as required, including but not limited to the User's name, contact person, email address, and phone number, and you agree to submit relevant information of the Customer you represent as required by Sangfor, including but not limited to the business license, qualification documents, and business description, so that Sangfor can perform real-name authentication on relevant subjects or ask a third party to do so in accordance with applicable laws and regulations, or where necessary, verify the authenticity and legality of the business carried out by the relevant subjects by means of Sangfor Products or other related services. In the event of any change in the above User Information, you shall promptly notify Sangfor in writing or update the information according to relevant rules for the current Product.

2.2.2 The User shall further guarantee that their registered account names, avatars, and profiles will not contain illegal and undesirable information, that they will not impersonate others or use their names, portraits, or trademarks/logos without authorization, and that they will not infringe upon the legitimate rights and interests of others during the use of the account.

2.3 Account Use Rules: When logging into an account of the current Product and using relevant features or services, you shall conscientiously bear the legal obligations related to the account subject, including but not limited to: not using the account or any feature or service to commit any acts that violate laws, regulations, or policies; and not using technical means to interfere with the operation of the current Product or our Product management, or maliciously circumvent or counteract the rules for related features or services.

2.4 Account Security Protection

2.4.1 Your account is used as the basis to identify you as the intended user of the Product, so you shall take necessary and effective confidentiality and security measures (including but not limited to taking effective access control, setting a strong password, and regularly changing the password) for the username, password, and other information of your account.

2.4.2 If you discover any unauthorized use of your account and password or any other circumstance that your account permissions are obtained without your legal authorization, you shall immediately notify Sangfor in an effective manner and provide the necessary information, such as user information, the statement of situation, supporting documents, specific appeals, and contact information. Sangfor will handle your request in accordance with laws, regulations, and this Agreement or applicable Rules after receiving a valid notice from you, verifying your identity, and confirming the facts. If Sangfor fails to handle your request in a timely manner due to our inability to verify your identity or judge your requirements as a result of any defects in the information you provide, you shall bear all losses arising therefrom. In addition, you understand that it takes a reasonable period of time for Sangfor to handle your request and that Sangfor shall not be liable for your losses incurred prior to our adoption of measures or incurred after our adoption of measures for reasons not attributable to us.

2.5 Account Management

2.5.1 Apart from the security protection for your account, you shall establish and improve internal management systems, to standardize the use and management of your account. In case of any actual breach of this Agreement or other applicable Rules or provisions, you are obliged to immediately notify us, and shall take appropriate actions to stop and correct such breach or violation, and bear the full liability.

2.5.2 You understand and agree that, if any User breaches this Agreement or other applicable Rules or provisions or is involved in a dispute over account permissions, Sangfor, as the Product operator, has the right to take necessary measures, including but not limited to restricting, suspending, or terminating access to or use of the Product or other related services, in accordance with applicable laws or this Agreement and other relevant provisions, to ensure the secure and effective operation of the Product as far as possible. Sangfor has the right to independently assess and establish a credit management system for your account and provide services or other guarantees for related rights and interests based on the credit rating of your account during the use.

2.6 Statements and Warranties of the Administrator

If you are authorized by the Customer to register an account of the current Product as an Administrator, assist other users to complete account registration based on your permissions as an Administrator, and manage the account registration and use by such Users within your permissions, you shall warrant that you have been legally, validly, and fully authorized by the Customer to do so, and you will conscientiously fulfill all responsibilities in accordance with this Agreement and the Customer's true requirements or intentions, including but not limited to the management responsibilities based on the foregoing rules relating to account registration and use, account security protection, information involved in the use of the account, and other related rules. Sangfor has the reason to believe that all actions you take within your permissions as an Administrator represent the Customer, and has the right to require the Customer to fulfill the obligations if you are negligent in performing the same.

2.7 Restrictions on Account Permissions and Termination of Account

2.7.1 Cancellation of Account

Generally, you may directly cancel your account through the current app, unless the Customer you belong to has set relevant restrictions or approval process when inviting or authorizing you to become an Authenticated User, in which case, the cancellation of the Authenticated User's account will be uniformly performed by the authorized Administrator of the Customer you belong to, and in any case the following conditions shall be met:

2.7.1.1 The account is in normal conditions and is not involved in any disputes (including complaints or reports filed by or against the account), nor subject to restrictive measures taken by the competent authority;

2.7.1.2 There is no uncompleted transaction under the account;

2.7.1.3 There are no other unsettled rights or obligations under the account or disputes that may arise out of the cancellation of the account;

2.7.1.4 There are no other circumstances that may affect the cancellation of the account.

Sangfor will cease the provision of relevant Product features and other related services to any User who has formally canceled the account. Upon cancellation of your account, we will properly process related data in accordance with applicable laws and regulations and relevant agreements (if any) with you or the Customer you belong to.

2.7.2 In order to protect the security of the User’s account, Sangfor has the right to independently detect and identify abnormal access behavior and take corresponding disposal measures. For example, for accounts that do not log in for a long time after registration or do not have any access records for a long time after registration, in order to protect the security of user accounts, Sangfor has the right to restrict their login function, and users need to reactivate their accounts before normal usage, and the activation methods include, but are not limited to, SMS authentication code, etc.

2.7.3 Sangfor has the right to recover or terminate the license for your account if you breach relevant provisions of this Agreement or other conditions for temporary suspension or termination of the account license as agreed upon by the Parties are established.

3. Product Features and Services

3.1 Content of Services

3.1.1 You understand and agree that the Customer may, based on its operational management, Human Resources management, and internal information security control requirements, manage the use of the current Product by the Administrator and Authenticated Users and related data, rights, and interests, including but not limited to adding, deleting, or adjusting relevant permissions, service content, or data. During the use of relevant features and services of the current Product, the Administrator and Authenticated Users shall comply with relevant internal rules, standards, or other requirements issued by the Customer, in addition to this Agreement.

In particular, all settings and operations by the Administrator based on the authorization granted by the Customer shall represent the Customer, and the Customer shall be responsible for managing the Administrator's permissions and actions. If an Authenticated User has any objection to the settings and operations by the Administrator, the Authenticated User shall report it to the relevant responsible personnel of the Customer for handling. Unless otherwise provided by law, Sangfor does not bear any liability to the Customer or any Authenticated User with respect to the authorization between the Customer and the Administrator, or the management and control by the Customer or the Administrator over the Authenticated User and the disposal of related rights and interests.

3.1.2 This Agreement only applies to the available features of the current Product and related services, and does not apply to any other services provided by third parties through websites or apps, such as any application, applet, HTML5, or other forms of services created through the relevant application programming interface (API) (if any) of the open platform of the current Product and services or services provided by integrating other third-party SDKs or third-party APIs (collectively, "Third-Party Services"). Before choosing to use any Third-Party Service, you shall fully understand and confirm whether you accept the agreement or rules applicable to the Third-Party Services.

3.2 Fees

3.2.1 You shall confirm the relevant charge standards, payment methods, and other fee-related matters before using relevant features or services of a Product, and may use them only after confirming your acceptance of such matters. In addition, please take note that you shall pay the Internet access fees, data traffic fees, communication fees, message fees, and other fees charged by third parties that may be incurred during your use of relevant Product features and services.

3.2.2 Sangfor may launch discounted products or services through "limited-time free", "limited-time offers", "limited-stock offers", "top-up offers", or other ways in a specific period due to marketing activities, product promotion, or other reasons. You understand and agree that these discounted products or services may be provided conditionally or only to specific users, and shall not be construed as a waiver by Sangfor to charge fees for such products or services, and that Sangfor has the right to notify you of the specific charge standards and methods through the current Product page, or our official website, or in any other effective way a certain period of time in advance. After the notice becomes effective, you shall pay for your continued use of the relevant products or services.

3.2.3 In particular, regarding the free trial of relevant features or services of a Product, Sangfor may, in its sole discretion and on an as-needed basis, adjust the type of the features or services that are available to you free of charge and the free trial period (Sangfor reserves the right to charge fees for any features or services that are not indicated in writing to be available free of charge), and will provide you with the relevant technical support and guarantee only to the extent provided by law or explicitly stated by Sangfor. Sangfor reserves the right to cease the provision of all features or services of a Product that is made available to you on a free trial basis with prior notice; and you understand and agree that the operation and maintenance ("O&M") management of any product or service will incur a certain cost. If you make a request to Sangfor beyond the scope of the features or services provided by Sangfor free of charge (including but not limited to access to or export of the relevant usage data), in addition to confirming that such request does not violate applicable laws and regulations nor infringes the legitimate rights and interests of third parties, Sangfor has the right to independently assess the reasonableness of your request and the time or other conditions required for the response to your request and require you to bear a reasonable cost required for meeting your request.

3.3 Technical Support and Guarantee

3.3.1 During your use of the current Product, to ensure the safe and stable operation of the Product features and related services, Sangfor will do our best to conduct comprehensive O&M management, and strive to develop and continuously optimize relevant features and services based on your requirements and usage.

3.3.2 The features and services of a Sangfor Product may be governed by a specific service level agreement ("SLA") based on the specific application scenarios, and the available technical support and guarantee for the specific features and services shall be subject to the applicable SLA (if any).

3.4 Use and Restriction

3.4.1 Content Rules

During your use of Sangfor Products, the User undertakes to comply with the applicable laws and regulations, public orders, and respect social morality, and not to produce, reproduce, publish, or disseminate, or intentionally provide technical support or other convenience or assistance for the production, reproduction, publishing, or dissemination of, information containing the content that prohibited by the applicable laws and regulations.

If the User obtains the Product from a source within the People's Republic of China  (hereinafter referred to as China, and for the purposes of this Agreement, excluding Hong Kong, Macao, and Taiwan Region, the same below) or use the Product within China, the User specifically undertakes to comply with the Constitution of the People's Republic of China and other laws and regulations, observe public order, and respect social morality, and not to produce, reproduce, publish, disseminate, or intentionally provide technical support or other convenience or assistance for the production, reproduction, publishing, or dissemination of, information containing the following content:

3.4.1.1 Violating the basic principles determined by the Constitution, endangering State security, honor, and interests, disclosing State secrets, inciting subversion of State political power, overthrowing the socialist system, inciting division of the State, or undermining the State unity;

3.4.1.2 Promoting terrorism and extremism, promoting ethnic hatred or ethnic discrimination, undermining ethnic unity, undermining religious policy of the State, or promoting cults and feudal superstitions;

3.4.1.3 Fabricating or disseminating information that disrupts the financial market or economic order;

3.4.1.4 Fabricating or disseminating false information about dangerous situations, epidemics, alert situations, natural disasters, production safety, safety of foods, drugs, or other products, or other information that disrupts social order;

3.4.1.5 Disseminating information by pretending to be, or falsely using the name of, State institutions, social organizations, and their functionaries or other legal persons, or disseminating information by falsely using the name of others for the purpose of committing illegal and criminal activities;

3.4.1.6 Spreading information that incites illegal assemblies, associations, parades, or demonstrations, or otherwise disturbs the social management order and social stability;

3.4.1.7 Disseminating information about obscenity, pornography, violence, gambling, murder, terror, instigation of crime, impartation of criminal means and methods, manufacturing or trading of prohibited or controlled goods, or commitment of fraud or other illegal and criminal activities;

3.4.1.8 Disseminating information that insults or slanders others, infringes the reputation, privacy, intellectual property rights, or other legitimate rights and interests of others, endangers the physical and mental health of minors, or is not conducive to the healthy growth of minors;

3.4.1.9 Other information prohibited by laws and regulations.

3.4.2 Software Usage Rules

During the use of a Sangfor Product, you undertake not to engage in, or assist or instruct others to engage in, the following acts:

3.4.2.1 Uploading, publicly posting, directionally sending, or otherwise disseminating software viruses or other computer codes, programs, or files that are intended to interfere with, destroy, or limit the functionality of any computer software, hardware, or communication equipment;

3.4.2.2 Illegally intruding, destroying, interfering with, changing, or attempting to change the operation or connection of Product features, software, server system, or network through technical means, or modifying, adding, deleting, stealing, intercepting, or replacing data in the Product client or the server system, illegally occupying the space of the Product server, or performing other acts that overload it;

3.4.2.3 Mining or detecting possible vulnerabilities or defects in the Product software or server system by scanning or other means without authorization, or publishing vulnerabilities or defects in violation of applicable laws, or using relevant vulnerabilities or defects to engage in any act that damages the Product and Sangfor's interests;

3.4.2.4 Producing, publishing, or disseminating any software, media, or methods used for the above purposes, whether commercial or not.

3.4.3 Other Rules of Conduct: During your use of Sangfor Products, the User shall not engage in any acts that infringe the legitimate rights and interests of other users or third parties or interfere with the normal operation of Sangfor or the stable functioning of our Products, or other acts that are not expressly authorized by Sangfor; and you undertake not to provide any convenience or assistance for any other third party's implementation of the foregoing acts. If the User obtains the Product from a source within China or use the Product within China, the User shall not engage in any acts that violate laws and regulations, socialist system, State interests, legitimate rights and interests of citizens, social public order, morality, or information authenticity, which are known as the "Seven Bottom Lines". 

3.4.4 Handling of Violations

You agree and accept that Sangfor has the right to continuously supervise and review your use of the related Product features and other services. If Sangfor finds that you have committed any breach of this Agreement, or receives any question or complaint regarding your violation or infringement from any third-party institution or individual, Sangfor will have the right to investigate and verify the relevant act or information and take relevant measures based on the actual situation, including but not limited to immediately suspending temporarily or terminating your use of the related features or services, removing the relevant information, and making a report to the competent authority, and where necessary, to require you to submit relevant explanations or supporting documents within a prescribed time limit. You agree to cooperate in this regard. Sangfor shall not bear any legal liability for any loss caused to you due to the measures taken under the foregoing circumstance. In addition, Sangfor reserves the right to hold you legally liable and file a claim for all losses thereby sustained against you, including but not limited to investigation fees, litigation or arbitration fees, and attorney fees incurred in protecting our rights, as well as the business loss or claims suffered by or filed against us.

3.5 Temporary Suspension and Termination of Services

3.5.1 To provide more complete and high-quality products or services to you, Sangfor has the right to perform overhaul, maintenance, upgrading, and optimization (collectively, "Routine Maintenance") to the app of the current Product or the relevant infrastructure or equipment, system, and software on a regular or irregular basis. If the features or services of the current Product are interrupted or suspended within a reasonable time period due to Routine Maintenance, Sangfor shall not be liable for breach of contract or damages to you due to such interruption or suspension, provided that Sangfor shall notify you of such Routine Maintenance in advance. In the event of any non-routine maintenance resulting from force majeure, fault of the telecom foundation operator, or other reasons not attributable to Sangfor, Sangfor will strive to notify you as soon as practically possible.

3.5.2 To ensure the safety and stability of the products or services, Sangfor may also make major adjustments such as server room or data migration and equipment replacement. Such adjustments may result in the interruption or suspension of relevant Product features or services within a reasonable time period, and Sangfor shall not be liable for breach of contract or damages to you due to such interruption or suspension, provided that Sangfor shall notify you of such adjustments in advance, and you shall cooperate. If you do not cooperate or Sangfor cannot get in contact with you, you shall bear all consequences arising therefrom.

3.5.3 Sangfor has the right to adjust or terminate all or part of the Product features or services based on our own operational arrangements, including but not limited to removal, iteration, or integration of related features or services, provided that Sangfor shall notify you at least 30 days in advance, so that you can back up the data to be migrated, adjust your business, or make other preparations, to avoid incurring unnecessary cost or loss.

3.5.4 You understand and agree that when the conditions for temporary suspension or termination of the services agreed upon by Sangfor with you through the terms of this Agreement or otherwise are established, Sangfor has the right to temporarily suspend or terminate the provision of the agreed services to you by giving unilateral notice to you.

3.5.4.1 The conditions for temporary service suspension specified in this clause include but are not limited to: your refusal to agree to any updates to this Agreement or other applicable Rules, or your failure to promptly renew the license upon expiration thereof, or your breach of the obligations under this Agreement, thus resulting in your temporary inability to use the Product features or services.

3.5.4.2 The conditions for service termination specified in this clause include but are not limited to: your failure to renew the license in a certain period of time after the expiration of the license, your failure to meet the necessary conditions for use of the Product features or services due to breach of your obligations hereunder, or actual loss caused to Sangfor due to your violation of laws.

4. Rights and Obligations of the Parties

4.1 Sangfor and the terms and conditions of this Agreement grant you a non-transferable, non-sublicensable, non-exclusive, limited, and revocable license to use the current Product features and services that Sangfor provides to you. All other rights not expressly granted to the User under the terms and conditions of this Agreement shall be retained by Sangfor, and the User shall separately obtain Sangfor's written authorization for the exercise of such rights, and Sangfor's failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.

4.2 You shall use the Product in accordance with relevant rules and restrictions. Unless otherwise agreed or noted, you shall use the Product features and services hereunder only for non-commercial purposes, and you undertake not to reproduce, copy, sell, or resell the current Product or any part thereof, or use the current Product or any part thereof for any commercial purposes including but not limited to advertising.

4.3 Sangfor shall provide the User with the current Product in accordance with the signed contract, this Agreement or the relevant rules, as well as the User's configuration or other forms of authorization/instructions, and will continue to make efforts in O&M, in order to provide Users with Products that better meet the User’s needs and have a better use experience, as well as to provide comprehensive support and protection during the User's use of the Products. In this process, Sangfor may update the Product by means of software replacement, modification, function enhancement, version upgrade, etc., and Sangfor will notify the User of the updates by means of pop-ups or announcements as necessary.

4.4 You undertake to comply with all laws and regulations of China, the United States, the United Nations, the European Union and other countries/international organizations regarding export control and economic sanctions that may be applicable to this Agreement, and warrant that you and the Customer you belong to are not subject to the export control, economic sanctions, or other legal or regulatory restrictions enacted by any country, region, or international organization, and will not directly or indirectly provide the features of the current Product and related services to any sanctioned countries or regions under applicable export control and economic sanction laws or any entities or individuals included in the restricted list, nor directly or indirectly use the services and related content for any purposes prohibited by applicable export control and economic sanctions laws and regulations. Otherwise, Sangfor has the right to immediately terminate the services to you and reserves the right to claim all losses arising therefrom against you.

4.5 Confidentiality Obligations of the Parties:

4.5.1 "Confidential Information" means all technical and non-technical information that is disclosed by a Party to the other Party and is non-public, practical and can bring economic or other benefits to the disclosing Party, including but not limited to Product or service prices or marketing plans, business plans and strategies, customer lists and customer information, financial information, product development information, or related technical solutions.

4.5.2 Either Party hereto agrees to maintain the confidentiality of the other Party's Confidential Information of which it becomes aware, and require its personnel who have access to such Confidential Information to strictly fulfill their obligation of confidentiality under this clause. The Party receiving the Confidential Information shall not disclose it to the public, unless the State organ compulsorily requires such disclosure in accordance with the law or the Confidential Information has entered the public domain.

4.5.3 The Parties hereto explicitly acknowledge that their respective business data and other information are their respective important assets and key Confidential Information, and they agree to do their utmost to prevent such Confidential Information from being disclosed. If any risk or event of leakage of Confidential Information is discovered, the Parties shall cooperate to take all reasonable measures to avoid or mitigate the damage arising therefrom.

4.5.4 The confidentiality obligation specified in this section shall survive the termination of this Agreement.

5. Introduction of Data Processing

5.1 For more information about the data in connection with your use of the current Product that Sangfor processes directly or with authorization, including but not limited to the data type, purposes and methods of processing, and data security protection, please see the Privacy Policy.

5.2 In scenarios of use by individual users, Sangfor, as the data processor, will process all data involved during the use of the current Product, including relevant necessary personal information, for the purpose of providing the required features or services to the individual users.

5.3 In scenarios of use by the Customer and its Administrator and Authenticated Users, Sangfor, as the authorized party, will provide the corresponding features and services to the users based on the specific features or services purchased, configured, and activated by the Customer and the security management requirements, and conduct authorized processing of the data (including relevant personal information) controlled by the Customer to the extent necessary to provide the features or services. In such case, Sangfor and you hereby specially agree as follows:

5.3.1 You understand and agree that, the legitimate rights and interests of the personal data of the data subject, as well as the computers or electronic data and other assets owned by individuals are protected by law, so you shall warrant that any processing of the Personal Information or assets of Authenticated User and other individual involved in your use of a Product or service provided by Sangfor does not infringe the legitimate personal and property rights and interests of the individual. For example, if the collection and processing of Personal Information (except the personal information of the Administrator, for which the Administrator has granted the authorization to Sangfor when executing this Agreement by checking the box confirming acceptance of this Agreement) is involved, you shall ensure that you have obtained the explicit consent of the individual, based on which, you authorize Sangfor to provide the Products and services under this Agreement. You shall bear the consequences arising from the violation of applicable laws or infringement upon the legitimate rights and interests of the individual due to your breach of the foregoing warranty.

5.3.2 As described above, since Sangfor provides the features and services of the current Product based on your authorization and processes data accordingly, Sangfor is not responsible for reviewing the specific content of the data that we are authorized to process in such process, and you shall be responsible for the legality of the content. If you use the features of the current Product to carry, disseminate, or publish any data or content that violates laws, regulations, departmental regulations, or national policies, you shall bear all consequences and responsibilities arising therefrom, and the system logs or other recorded data retained by Sangfor may be used as the evidence of your violation of laws and regulations.

5.3.3 You shall back up the relevant data of the Product according to your needs. Though Sangfor will retain logs and other necessary data in the process of providing related features or services to you, Sangfor will only retain such data in accordance with applicable local laws and regulations or your authorization and based on the principle of data minimization, and shall not assume any responsibility for the User Data backup or the result thereof. If you need assistance from Sangfor in exporting or querying or retrieving related data, subject to applicable laws, Sangfor has the right to require you to bear the cost for data processing and maintenance, unless you have reached a special agreement with Sangfor on data backup or related processing.

6. Intellectual Property Rights

6.1 Sangfor and its affiliates, as the owner of the intellectual property rights in the Product provided to you, retain all rights to intellectual and intangible property relating to Sangfor Product, including but not limited to copyrights, patents, trade secret rights, trademarks, which are protected by law. Intellectual property rights are precious intangible assets on which Sangfor's business survives, which are included in both Sangfor Products used by the User and the trademarks, labels, and other brand images of Sangfor recognized by the User. Except where agreed in writing, nothing in this Agreement transfers ownership in or grants any license to, any intellectual property rights to you. Sangfor may use any feedback you provide in connection with your use of the Product as part of its business operations, without your approval or compensation to you. .

6.2 You understand and agree that, during your use of a Sangfor Product or service, you shall not infringe the intellectual property rights or other legitimate rights and interests of Sangfor in any way, including but not limited to: not exploiting, licensing, or assigning, or permitting any third party to exploit, license, or assign, the aforesaid intellectual property rights for commercial or non-commercial purposes without the written consent of Sangfor; not reproducing, modifying, disassembling, decompiling, reverse cracking, reverse engineering, or attempting to access or intercept any source code of, the software and hardware products that Sangfor provides to you and/or any part thereof; not circumventing or destroying any technical measures that Sangfor takes to protect the intellectual property rights; and not modifying, destroying, or covering the trademark or label on the Sangfor Product or system platform without authorization. Sangfor reserves the right to hold you legally liable for any infringement upon intellectual property right.

6.3 You understand and agree to authorize Sangfor to use your name, trademark, and label in our publicity and promotion, provided that such use is only to indicate you as our customer or partner.

7. Limitation of Liability and Disclaimer

7.1 You understand and agree that, if the Product features or services are interrupted during your use of the Product under any of the following circumstances, Sangfor will promptly cooperate with the relevant entity to make repairs, but Sangfor shall not be liable for any loss suffered by you as a result thereof:

7.1.1 Force majeure, including but not limited to natural disasters, government actions, the promulgation of and changes in laws and regulations, strikes (except for internal labor disputes of either Party), unrest, or other objective circumstances that are unforeseeable, unavoidable, and insurmountable;

7.1.2 Causes attributable to telecom foundation operators, including but not limited to the technical adjustments by the telecommunication department, the destruction of the telecommunication or electric power lines by others, the installation, transformation, and maintenance of the telecommunication networks or electric power resources by the telecommunication or electric power department;

7.1.3 Cybersecurity incidents, such as computer viruses, Trojan horses, or other malicious programs, or hacking attacks;

7.1.4 Inability to use the related Product features or services normally due to your use of the Product features or services in a manner other than those permitted by Sangfor, or your improper operations, loss or theft of account, or failure of your computer software, system, hardware, or communication lines;

7.1.5 Other circumstances that are not attributable to the fault of Sangfor and cannot be controlled or reasonably foreseen by Sangfor.

7.2 If, based on the particularity of the business you operate or manage, your use of the related Product is conditioned upon a third party's authorization or license, you shall warrant that you have met such condition, and Sangfor will accept your authorization based on your warranty and provide the agreed Product or services to you. In addition, Sangfor will not bear any form of joint and several liability for your breach of the agreement with the third party or infringement upon the legitimate rights and interests of the third party.

7.3 You understand and acknowledge that Sangfor and the Product will keep independent of the third party's products, services or other business or content; and that you shall make your own judgment and take responsibility for the legality, reliability, suitability, quality, and other aspects of the software or hardware, plug-ins, or tools provided or the advertising, promotion, or publicity information (including commercial or non-commercial information) sent by the third party. Unless otherwise explicitly provided by law, Sangfor shall not be liable for any loss or damage suffered by you due to the products, services, or information provided by the third party.

7.4 YOU UNDERSTAND AND AGREE THAT SANGFOR PRODUCTS AND SERVICES ARE PROVIDED "AS-IS" BASED ON THE EXISTING TECHNOLOGIES AND CONDITIONS. SANGFOR WILL USE OUR BEST EFFORTS TO PROVIDE HIGH-QUALITY PRODUCTS TO YOU. HOWEVER, DUE TO THE LIMITATIONS OF THE TECHNICAL LEVEL OF THE INDUSTRY OR OTHER OBJECTIVE FACTORS, SANGFOR CANNOT GUARANTEE THAT THE PRODUCTS PROVIDED ARE FREE OF DEFECTS OR FULLY SUITABLE FOR YOUR BUSINESS REQUIREMENTS. THEREFORE, APART FROM THE EXPRESS WARRANTIES THAT SANGFOR MAKES TO YOU IN SPECIFIC SCENARIOS, SANGFOR DOES NOT MAKE ANY UNDERTAKING OR WARRANTY AS TO THE VALIDITY, INTEGRITY, ACCURACY, RELIABILITY, AND TIMELINESS OF THE TECHNOLOGIES OR INFORMATION INVOLVED IN THE PRODUCT PROVIDED, NOR BEARS ANY LIABILITY THEREFOR. If you encounter any technical or other problems beyond the undertakings or acknowledgment of the parties during the use of a product, the parties may seek solutions through friendly collaboration.

7.5 IN NO CASE SHALL SANGFOR BE LIABLE FOR ANY INDIRECT, PUNITIVE, SUDDEN OR INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO THE LOSS OF PROFITS, LOSS OF INTEREST, TEMPORARY SUSPENSION OF BUSINESS, OR DESTRUCTION OR LOSS OF DATA OR OTHER ASSETS.

7.6 The total liability of Sangfor for breach of contract or damages arising out of the Product or service provided to you violating the applicable terms of this Agreement or other applicable rules shall not exceed the total fees charged for the Product or service.

 

8. Valid Notice

8.1 You shall warrant and maintain the authenticity and validity of relevant information you submit (including but not limited to phone number, email address, and other contact information). If the information you submit contains any false, invalid, or other content that may result in your inability to promptly receive business notices, feature or service prompts, technical support, dispute coordination, or violation punishments, you shall bear the relevant responsibility.

8.2 You shall send notifications to Sangfor according to the contact information specified herein or published on Sangfor's official website, unless otherwise agreed upon by the Parties.

8.3 Sangfor may send you various information related to our products or services, such as notices, prompts, verification messages, and marketing information (including but not limited to the updated End User License Agreement, applicable Rules, Product or service upgrades, server room migration, and advertisements) by webpage announcement, system notification, private message, email, SMS, instant message, and/or letters. Any such notice shall be deemed to have been served (if the notice is served on a statutory holiday, it shall be deemed to have been served on the first working day following the service):

8.3.1 at the time when the recipient signs to acknowledge the receipt of the notice if it is sent by personal delivery;

8.3.2 at the time when it is published in the form of a webpage announcement, etc., unless otherwise stated;

8.3.3 at the time when it is successfully sent in electronic form, including system notification, private message, email, SMS, and instant message; or

8.3.4 on the third calendar day after being posted if it is sent by courier or registered mail, postage prepaid.

9. Governing Laws and Dispute Resolution

9.1  If the User obtains the Product from a source within China or use the Product within China, the signing place of this Agreement is Nanshan District, Shenzhen City, Guangdong Province, the People's Republic of China. The establishment, effectiveness, performance, and interpretation of this Agreement, the dispute resolution hereunder, and other matters in connection herewith shall be governed by the laws of the People's Republic of China (excluding the Law of the People's Republic of China on Choice of Law for Foreign-related Civil Relationships); in the absence of applicable laws, the applicable commercial practices may be followed. Any dispute or controversy between you and Sangfor shall first be resolved through friendly negotiation. If no agreement is reached through negotiation, you agree to submit such dispute or controversy to the competent people's court in the place where this Agreement is signed.

9.2 If the User use the Product in other jurisdictions, this Agreement shall be governed by and construed in accordance with the laws of Hong Kong, excluding its conflict of law principles. Any dispute, controversy, difference or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be in Hong Kong. The number of arbitrators shall be three. The arbitration proceedings shall be conducted in English.

10. Miscellaneous

The headings used herein are for purposes of convenience only, and shall not be separately used as the basis for the interpretation of the terms hereof.

1. How we collect and use your personal information

The VDI Client application you are currently using is a program developed by Sangfor to meet the internal office management needs of the business users and is designed to work with VDC device deployed on specified server by the Customer. To provide the User with the functionality and services of the VDI Client, and to continuously maintain the normal operation of various functions and services, while timely identifying abnormal account statuses, ensuring the security of your account as much as possible, and continuously improving and optimizing the user experience of the application, we will collect and use the information you voluntarily provide, authorize to provide, or provide based on the requirements of the Customer during registration and application usage, as well as the information generated when you use this application for the following purposes stated in this policy:

1.1 Help you become an Authenticated User of Sangfor VDI Client

If you use the VDI Client based on the needs of the organization you belong to (hereafter referred to as Your Organization or the Customer), an administrator from Your Organization will create an account for this application on your behalf. The administrator may choose to use your name or employee number as the account identifier and set an initial password for you. Once the account is created, you can log in using the account and the initial password. After logging in, you can change the password and bind a mobile phone number. The account, password, and mobile number you submit when logging into the VDI Client will be transmitted through the application to the VDC server managed by your organization for unified management.

1.2 Information collected during your use of the Sangfor VDI Client features or services

1.2.1 In accordance with the application's installation and basic functional requirements, during the installation and usage process, the application will enable device permissions to access and transfer corresponding information to the VDC server for processing, such as:

1.2.1.1 After enabling network access permissions, the application will identify the type and name of the network connected to the mobile device, and when necessary, obtain the MAC address of the device connected to WIFI for identity authentication;

1.2.1.2 After enabling Bluetooth permissions, the application will acquire the Bluetooth name as the device name;

1.2.1.3 After enabling the permission to read phone status, the application will obtain the phone's hardware fingerprint and transfer it to the VDC;

1.2.1.4 Through the built-in MDM (Mobile Device Management) service within the application, the device's boot state will be identified, and a list of currently running applications on the device will be obtained;

1.2.1.5 After enabling the device's recording permission, when you access the virtual machine resources on the VDC that involve applications or functions related to audio recording through the VDI Client, such as a telephony system software, the application will perform recording on your device and transfer the generated audio data to the VDC.

You understand and agree that as the controller or/and processor of your relevant personal information involved therein, your organization shall assume the obligation to protect relevant legitimate rights and interests of the individual it manages and the corresponding legal liability. Sangfor will process relevant necessary data only with the authorization of the your organization (including but not limited to through the operations and configurations by the administrator). Your Organization should independently control the scope of information that it authorizes us to process based on business management, human resource management, internal information security control, or other purposes. In particular, if you are an administrator authorized by your organization, you should ensure that your choice to enable relevant features or services and your relevant use settings are in strict compliance with the actual requirements and effective instructions of your organization, and that your organization to has obtained the valid authorization from relevant individual before granting us, through you, all authorizations required for processing relevant personal information under this Policy.

1.4 Other information you voluntarily provide to us

1.4.1 Information Involved in Application Operation and Maintenance: When you encounter issues during the use of the VDI Client application, we may require you to submit log data related to the application's operation stored on your device. This submission assists us in identifying and promptly resolving issues through the analysis of the log data. Such operational log data will not contain any of your personal information.

1.4.2 In the process of using the features and services of Sangfor VDI Client, you can also send your feedback on your use experience through emails or other ways to help us better understand your needs for our products and continuously improve the product features and experience. We will record the content of your unsolicited feedback or suggestions, as well as the contact information you voluntarily provide, so that we can further contact you and feedback on our handling opinion.

1.5 Information collected for other purposes

You understand and agree that the product features and services we provide to you are constantly iterated and upgraded. If we need to collect and process your personal information beyond the scope described in this Policy, we will separately explain to you the content, scope, and purpose of the processing of the information involved through page prompts, interaction processes, or otherwise, to obtain your consent.

1.6 Exceptions

You are fully aware that, in accordance with applicable laws, we may collect and use relevant personal information without your authorization or consent under the following circumstances:

1.6.1 It is related to the performance of our obligations specified by laws and regulations.

1.6.2 It is directly related to national security and national defense security.

1.6.3 It is directly related to public safety, public health, or major public interests.

1.6.4 It is directly related to criminal investigation, prosecution, trial, or judgment execution.

1.6.5 It is for the purpose of safeguarding the life, property, or other significant legitimate rights and interests of you or other individuals while it is difficult to obtain your consent.

1.6.7 It is necessary to execute and perform the contracts or agreements between you and us.

1.6.9 It is necessary to maintain the operational security and stability of our products or services, such as discovering and handling the failure of our products or services.

 

2. How we store your personal information

2.1 Information and data we are authorized to process in China will be stored on servers located in China; data we process in the European Union Economic Area will be stored on servers located in Germany; and data we process in other regions will be stored on servers located in Malaysia. At the same time, the data that we are authorized to process will be retained for a period specified by applicable laws or agreed upon with the User (which shall meet the requirement for providing the products or services to the user).

2.2 If we need to transfer relevant personal information we process within one country or region to an overseas entity for the purpose of conducting cross-border business, we will transfer the personal information in accordance with the applicable laws, regulations, and the provisions of the competent regulatory authorities. We will ensure to provide sufficient protection for related personal information, such as anonymizing the personal information or taking encryption or other security measures for the storage and transmission of personal information.

2.3 You understand and agree that we may store the processed data information on the servers of affiliated companies for security and backup purposes.

 

3. How we share, transfer, and disclose your personal information

3.1 Sharing

We will not share the personal information that we process or are authorized to process with any third party, except in the following circumstances:

3.1.1 We have obtained your explicit consent.

3.1.2 We may share relevant personal information with the public in accordance with applicable laws and regulations or the compulsory requirements of the competent government authorities.

We undertake that we will share relevant personal information about you with our partners only to the extent necessary to provide our product features or services to you, and strive to de-identify the information, so that our partners cannot directly identify the relevant individual. In addition, the processing of the information received by our partners will be subject to the provisions of this section. We will not transfer the personal information that we process or are authorized to process to any companies, organizations, or individuals, except in the following circumstances:

3.2.2 In the event of merger, acquisition, or bankruptcy liquidation where personal information transfer is involved, we will require that the new company or organization holding your personal information be bound by this Policy. 3.3.3 The disclosure is reasonable and necessary for the purpose of maintaining the public interests.

3.4 We may share, transfer, or disclose relevant personal information without your authorization or consent under the following circumstances:

3.4.1 It is for purposes related to national security and national defense security.

3.4.2 It is for purposes related to public safety, public health, or major public interests.

3.4.3 It is for purposes related to criminal investigation, prosecution, trial, or judgment execution.

3.4.4 It is for the purpose of safeguarding the life, property, or other significant legitimate rights and interests of you or other individuals while it is difficult to obtain your consent.

3.4.5 The personal information disclosed is from the information collected from legally publicly disclosed information, such as through legal news reports, government information disclosures, or other channels.

3.4.6 It is necessary to maintain the operational security and stability of our products or services, such as discovering and handling the vulnerability or failure of our products or services.

 

4. How we protect your personal information

4.1 Sangfor attaches great importance to information security. We use various technical security measures, such as security encryption, intrusion prevention, and anti-virus measures, to protect the information against unauthorized access, use, disclosure, abuse, alteration, destruction, or loss.

4.2 We establish user information security management systems and work processes to strictly control access to user information; restrict the permissions of the staff having access to personal information and provide them with training relating to security and confidentiality; and regularly perform personal information security risk assessments and promptly handle related risks, to continuously improve our ability to protect the security of personal information.

4.3 The Internet environment is not completely secure, but we will do our best to ensure the security of the relevant personal information we process. We will bear the corresponding legal liability if your legitimate rights and interests are damaged by unauthorized access to, disclosure, alteration, or destruction of relevant personal information due to the destruction of our physical, technical, or management protection facilities.

4.4 In the event of a personal information security incident (information leakage or loss), we will, in accordance with applicable laws and regulations, promptly inform you of the basic information and possible impact of the security incident, the measures we have taken or will take, suggestions for you to independently prevent and reduce risks, and the remedies for you in a reasonable manner. In addition, we will report our handling of the personal information security incident in accordance with the requirements of regulatory authorities.

4.5 Though we will use our best efforts to take reasonable measures to protect the security of user information, there are no security measures that are completely perfect or unbreakable. In the event of any user information leakage, loss, or other security incident arising out of your disclosure of the product or service account and password to a third party, your breach of the relevant product or service use agreement, or other reasons attributable to you, or hacking, intrusion of computer viruses, or other reasons attributable to third parties, or force majeure, you understand that Sangfor shall not bear any direct or indirect loss or liability arising therefrom.

 

5. How you access and manage your personal information

5.1 You understand and agree that we provide basic features for you to access and manage your personal information. However, since the development of relevant Sangfor VDI Client features and provision of related services is intended to provide the Customer with solutions that facilitate business development and profit growth, if the Customer you belong to, when inviting or authorizing you to become a User, sets the corresponding restrictions or approval process for your use of relevant features, you should perform operations as required by the Customer. Sangfor undertakes to protect your legitimate rights and interests in your personal information based on our statutory or agreed obligations and business ethics. If you have any problems in accessing, correcting, or otherwise managing relevant personal information for reasons other than the management restrictions set by the Customer you belong to, you can contact us through the contact information in this Policy.

5.2 Account cancellation or unbinding

To cancel your account with the App, you should contact the relevant administrator of the Customer you belong to for help, and the Domestic User may request that their cancellation process be completed within 15 working days. After your account is canceled or unbound, we will cease the provision of all features and services of the App to you, and delete or anonymize your personal information in accordance with applicable laws and regulations and relevant agreements (if any) with you or the Customer you belong to.

5.3 You may also request us to delete your relevant personal information under the following circumstances:

5.3.1 Our processing or authorized processing of relevant personal information violates applicable laws and regulations.

5.3.2 We collect and use your personal information without your express consent.

5.3.3 Our processing or authorized processing of relevant personal information seriously breaches the relevant agreement.

5.4 Response to your request

5.4.1 You understand and agree that, based on the foregoing description of the purposes of our processing or authorized processing of personal information, your management of information may conflict with your requirements for normal registration and use of our products or services. We shall not be liable for the inconvenience caused to your use of our products or services or your loss arising from your exercise of the data management right.

5.4.2 In principle, we do not charge a fee for your reasonable requests, but we will charge a certain cost for repeated requests that exceed reasonable limits, as appropriate. We may reject requests that are repeated for no reason, require excessive technical means (for example, requiring the development of new systems or fundamental changes to current practices), pose a risk to the legitimate rights and interests of others, or are highly impractical (for example, involving the backup of information stored on tapes).

5.4.3 To ensure security, you may need to submit a written request or otherwise prove your identity. We may ask you to verify your identity before processing your request.

5.4.4 Under the following circumstances, we will not be able to respond to your request:

5.4.4.1 It is related to the performance of your obligations specified by laws and regulations.

5.4.4.2 It is directly related to national security and national defense security.

5.4.4.3 It is directly related to public safety, public health, or major public interests.

5.4.4.4 It is directly related to criminal investigation, prosecution, trial, or judgment execution.

5.4.4.5 We have sufficient evidence that you have subjective malice or abuse of rights.

5.4.4.6 It is for the purpose of safeguarding the life, property, or other significant legitimate rights and interests of you or other individuals.

5.4.4.7 Response to your request will cause serious damage to the other legitimate rights and interests of related individuals or organizations.

5.4.4.8 It involves trade secrets.

 

6. How we use cookies and similar technologies

6.1 For better user experience, we may use various technologies to collect and store data related to your access to and use of our products or services during your use of our products or services. This can help you skip the step of entering your account information repeatedly when you access or re-access the same product or service, and help us rapidly identify you, judge your account security, and provide more and better services to you through data analysis. 7.2 If you are a guardian of our minor user or a Customer or administrator with management authority over the minor user, you should pay attention to whether the minor user uses our products or services after obtaining the consent of the guardian, and prudently process or authorize us to process relevant personal information of the minor user. You may also check the latest version of this Policy in this App.

8.3 Major changes mentioned in this Policy include but are not limited to:

8.3.1 Major changes in our control rights and organizational structure, such as the change of owners caused by merger, acquisition, restructuring, or business adjustment;
